Acceptance of Terms

These Terms of Service ("Terms") are a binding agreement between you and Ethereon D Lab Pvt. Ltd., an Indian private limited company operating as "Peak Studio" ("Peak Studio," "we," "us," or "our"). They govern your access to and use of peakstudio.ai (the "Site"). By accessing or using the Site, you confirm you have read, understood, and agree to these Terms. If you do not agree, do not use the Site.

1. About the Site and our services

Peak Studio is an AI-powered design studio offering design, automation, and product-development services. This Site is an informational and marketing website only. Nothing on the Site is an offer capable of acceptance, and using the Site does not create a client, advisory, fiduciary, or other professional relationship between you and us.

Any engagement for our services is governed exclusively by a separate written agreement (such as a proposal, statement of work, or master services agreement) signed by both parties. To the extent any such agreement conflicts with these Terms, the signed agreement controls for that engagement.

2. Eligibility

You must be at least 18 years old and able to form a binding contract under applicable law to use the Site. If you use the Site on behalf of an organisation, you confirm you are authorised to bind that organisation, and "you" includes that organisation.

3. Acceptable use

You agree not to:

  • use the Site for any unlawful, harmful, infringing, or fraudulent purpose;

  • attempt to gain unauthorised access to the Site, its systems, or related networks;

  • introduce malware, scrape, harvest data, or place undue load on the Site through automated means (including bots, crawlers, or scrapers) except for legitimate search-engine indexing;

  • reverse engineer, copy, reproduce, frame, mirror, or redistribute Site content except as expressly permitted; or

  • misrepresent your identity or affiliation, or interfere with any other user's use of the Site.

4. Intellectual property

All content on the Site — including text, design, graphics, layout, logos, the "Peak Studio" name, the "Ethereon D Lab" name, and all portfolio and case-study work — is owned by us or our licensors and is protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to view the Site for your personal or internal business purposes only. No other rights are granted, whether by implication, estoppel, or otherwise.

Portfolio and case-study materials may include client work displayed with permission and remain the property of their respective owners; you may not reuse them. All rights not expressly granted are reserved.

5. Enquiries and unsolicited submissions

When you submit an enquiry or any material through the Site or by contacting us:

  • you are responsible for the accuracy and lawfulness of what you provide;

  • please do not send confidential information, sensitive personal data, or proprietary business ideas — confidentiality and non-disclosure obligations arise only under a separate signed agreement; and

  • you acknowledge that, absent a signed agreement, any idea, suggestion, concept, or feedback you send is provided on a non-confidential and non-obligatory basis. You grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, and exploit such submissions for any purpose without compensation or attribution, and we incur no obligation (of confidentiality or otherwise) in respect of them. This does not apply to personal data, which we handle as described in our Privacy Policy.

6. No guarantee of results

Information on the Site — including any references to timeframes (such as a 14-day MVP), outcomes, metrics, methodologies, or past results — is provided for general illustration and marketing purposes. It is not a warranty, guarantee, or commitment of any particular result, timeline, or outcome.

Specific deliverables, timelines, fees, and outcomes are defined only in a signed engagement agreement, and are subject to the assumptions, dependencies, and client responsibilities set out there. You further acknowledge that product validation and testing may, by their nature, produce inconclusive or negative findings, and that such findings are a legitimate result of the work and not a failure of performance.

7. Third-party links and tools

The Site may link to or incorporate third-party websites, services, or tools (for example, analytics, advertising, scheduling, or AI services). We do not control and are not responsible for the content, availability, security, or practices of any third party. Your use of them is at your own risk and subject to their terms and policies.

8. Disclaimers

To the maximum extent permitted by law, the Site and all content are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, or non-infringement. We do not warrant that the Site will be uninterrupted, timely, secure, error-free, or free of harmful components. Any information on the Site is general and does not constitute professional, legal, financial, or technical advice. Where applicable law does not allow the exclusion of certain warranties, the above exclusions apply only to the extent permitted.

9. Limitation of liability

To the maximum extent permitted by law:

  • Peak Studio, Ethereon D Lab Pvt. Ltd., and our officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, however arising and even if advised of the possibility.

  • Our total aggregate liability arising out of or relating to the Site and these Terms will not exceed [INR amount, e.g. ₹10,000].

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for: (a) fraud or fraudulent misrepresentation; (b) death or personal injury caused by our negligence; (c) gross negligence or wilful misconduct; or (d) any rights or remedies you have under applicable consumer-protection or data-protection law that cannot be waived. If you are a consumer, you may have statutory rights that these Terms do not affect.

10. Indemnification

You agree to defend, indemnify, and hold harmless Peak Studio, Ethereon D Lab Pvt. Ltd., and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your misuse of the Site, your breach of these Terms, or your violation of any law or third-party right. We may, at our option, assume the exclusive defences and control of any matter subject to indemnification, and you will cooperate with us in asserting any available defence.

11. Force majeure

We will not be liable for any failure or delay in performance, or for any unavailability of the Site, caused by events beyond our reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government or regulatory action, strikes or labour disputes, power or internet failures, cyberattacks, or the failure, suspension, or discontinuation of any third-party platform, hosting, telecommunications, or AI service we rely on.

12. Suspension and termination

We may, at our sole discretion and without notice or liability, suspend, restrict, or terminate your access to all or part of the Site — including for any actual or suspected breach of these Terms — and may modify, suspend, or discontinue the Site (in whole or in part) at any time. Sections intended by their nature to survive termination (see Section 16) will continue to apply.

13. Privacy

Your use of the Site is also governed by our Privacy Policy and Cookie Policy, which explain how we collect, use, and protect personal data and cookies.

14. Changes to the Site and these Terms

We may update these Terms from time to time. The revised version will be posted here with a new "Last updated" date and takes effect when posted. Where changes are material, we will take reasonable steps to highlight them. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms; if you do not agree, stop using the Site.

15. Governing law and dispute resolution

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of India, without regard to conflict-of-law principles. Subject to any non-waivable rights you may have under the mandatory law of your place of residence, the courts of Bengaluru, Karnataka, India will have exclusive jurisdiction.

Arbitration (recommended for cross-border disputes): At our election, any dispute may instead be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator, seated in Bengaluru, India, conducted in English. [Note for counsel: confirm enforceability and any consumer-arbitration limitations for the markets you serve before relying on this clause.]

16. General

  • Severability. If any provision is held invalid or unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force.

  • No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

  • Assignment. We may assign or transfer these Terms (including in connection with a merger, acquisition, or sale of assets). You may not assign your rights or obligations without our prior written consent.

  • Relationship of the parties. Nothing in these Terms creates any partnership, joint venture, agency, franchise, or employment relationship between you and us. Neither party may bind the other.

  • Notices. Legal notices to us must be sent to contact@peakstudio.ai and to our registered address below. We may give notice to you via the Site or the contact details you provide.

  • Survival. Sections 4, 5, 6, 8, 9, 10, 11, 15, and 16 survive any termination of these Terms or your use of the Site.

  • Entire agreement. These Terms, together with the Privacy Policy, the Cookie Policy, and any signed engagement agreement, constitute the entire agreement between you and us regarding the Site and supersede all prior understandings.
